These Terms of Service (“Terms”) govern the use of services provided by Origo Miami LLC (“Company,” “we,” “our,” or “us”). By engaging our outsourcing services, you agree to comply with and be bound by these Terms.
2. Scope of Services
Origo Miami LLC provides outsourcing solutions, including but not limited to:
- Customer support
- Administrative assistance
- Technical support
- Other professional services
The specific scope of services will be outlined in a separate service agreement between Origo Miami LLC and the client.
3. Client Responsibilities
Clients are expected to:
- Provide necessary access, information, and resources for service fulfillment.
- Ensure compliance with applicable laws and regulations.
- Cooperate with Origo Miami LLC personnel in a professional manner.
4. Payment Terms
- Fees for services will be specified in the service agreement.
- Payment is due as outlined in the invoice terms.
- Late payments may incur additional fees or result in service suspension.
5. Confidentiality and Data Protection
- Both parties agree to maintain the confidentiality of proprietary and sensitive information.
- Origo Miami LLC implements industry-standard security measures to protect client data.
- We do not share SMS opt-in details or phone numbers used for SMS communication with third parties or affiliates for marketing purposes.
6. Intellectual Property Rights
- Any intellectual property created by Origo Miami LLC during the service engagement shall be governed by the terms outlined in the specific service agreement.
- Clients retain ownership of their proprietary data and materials provided.
7. Limitation of Liability and Indemnification
- Origo Miami LLC is not liable for indirect, incidental, or consequential damages arising from service use.
- Clients agree to indemnify and hold Origo Miami LLC harmless from claims resulting from misuse of services.
8. Termination and Cancellation
- Either party may terminate services with written notice per the agreement terms.
- Early termination may be subject to fees as specified in the service agreement.
9. Dispute Resolution
- Any disputes shall be resolved through mediation or arbitration before legal proceedings.
- The governing law shall be that of the jurisdiction specified in the service agreement.
10. Compliance with Laws
Origo Miami LLC and clients must comply with all applicable local, state, and federal laws in relation to services provided.
11. Service Level Agreements (SLAs)
If applicable, performance expectations, response times, and penalties for non-compliance will be detailed in a separate SLA.
12. Updates to Terms
We may update these Terms periodically. Any changes will be communicated to clients, and continued use of services constitutes acceptance of the revised Terms.
